A 3-Hour Venture Financing Conversation and Networking Program
For Entrepreneur Executives, Professionals, Venture Investors & Lenders.

  • Next Program Topic: Term Sheet Math The Deal Paths of 2 Companies

    Program speakers:
  • Steve Kelley, Partner, Corporate Securities. Summitt Law Group, PLLC
  • Robert Kruse, Managing Partner, VenLogic LLC

While many programs discuss the basic terms of a venture deal, few go into the real math. It takes financial engineering, here provided by VenLogic, coupled with legal expertise provide by corporate securities attorney Steve Kelley. Watch as Steve presents the deal paths of 2 companies based on terms being done in today's environment. One scenario, SmartCo, demonstrates the optimum retirement path for a founding team. The other scenario, SlowCo, describes how adjusting a few term sheet factors literally removes any upside potential for the founders. The entrepreneur? challenge in the room will be to whiteboard their capital needs over time and, by applying the lessons presented, see if they can model their outcome. Sitting first person, this simulation enables entrepreneurs - and anyone dependent on their equity (e.g. options) - to come to grips with the importance of shareholder accounting and forward looking dilution modeling based on future investors' needs.

"Just want to tell you that I thought the workshop Tuesday night may have been the most useful and fun venture meetings I´ve been to in such a compact time allotment. You´ve done a great job. And I was quite impressed with the transformation you made with the Wireless Company´s positioning statement - prior to that time I did not understand anything he was telling us, and in just a few minute's time you made it quite clear. Interesting mix of people, too. Thank you!"
