GENERAL FAQ

What is a Structured Funding Program? Iˆve never heard of one for private companies before.

Structured finance services tend to be provided by larger investment banks to later stage, more established firms.  For early-stage companies, raising venture financing is a difficult expensive process performed in an unstructured private equity marketplace.  VenLogic has designed a new structured funding program which enables early-stage companies to learn the process, execute on the steps, and meet investors in a manner which is designed to their advantage.

What is Strategic Equity Marketing? Iˆve never heard of that either.

Equity Marketing is a VenLogic Trademarked thought leadership framework which defines the process by which intangibles, such as stock or equity, are sold typically to investors in a way that leverages existing product marketing know-how.  Follows a memorable "4P's of marketing" model, translated to equity which quickly identifies and categorizes deal killers. Nuance within the private equity market requires tailoring of product marketing concepts, processes and tools to meet investor needs.

Like product marketing, there is both a strategy and tactical component which are separate defined services:

Strategic equity marketing are the services related to sizing the capital market, profiling the target investor, pricing and positioning the deal „ all critical strategy tasks necessary before meeting investors.  The wrong financing strategy will result in a waste of time and money in tactical execution.  It may also have a dramatic effect on the companyˆs valuation and the founderˆs net worth.

Tactical equity marketing translates the strategy into action that qualify the customer and engages the sales process.  These services defining the deal terms, reverse engineer the equity sales channel, design channel compensation, generating the equity marketing and sales materials, and support the company through closing.

Why does VenLogic require me to purchase a venture assessment tool as a prerequisite to participating in the assessment program?

Learning how to repeatedly raise venture financing is a life-long learning process.  VenLogic as compressed the key fundamentals into a personal self-training program that can be conveniently accessed by teams in advance of the assessment session.  This gives the company the advantage of previewing the assessment process and being prepared to ensure the results adequately reflect the companyˆs expectations.

Since investors are not in the training business, few will have the time it takes to adequately explain both the process, and the issues preventing a company from getting financed.  So this program has the effect of accelerating the time to funding for the company.

Why should I bother? I need funding now. I have no time for this ¶assessment program.¾ I need to execute. An assessment seems like an extra step that I donˆt have the time or money to afford.

Actually, companies are continuously being assessed by everyone they meet, just that few ever share their findings.  The first sentence of ¶what you do¾ is enough to trigger a rejection or a referral into the right door.

The VenLogic assessment programs arm CEOs with the key tools they need to be successful.  Many executives blindly make critical mistakes that cost them weeks and months longer that what a simple 2 day program requires.  They spin their wheels traveling, pounding their Rolodex, burning out their contacts and checkbook figuring they will teach themselves the process.  The ¶Trial by Fire¾ education becomes the most expensive and time consuming approach that rarely succeeds.

VenLogic looks for executives who ¶know what they donˆt know¾ and desire to learn so they can rapidly adjust their approach and get on with the funding process smarter and more effectively.

Does VenLogic provide investment capital?

No.  We provide tools, programs and consulting services.

Does VenLogic provide ¶all¾ the solutions for my deal type that get me funded?

No one firm can have all of the solutions to fix any deal in any stage of growth.  It is physically and financially impossible.  Incubators learned this the hard way and many of the best funded operations failed.

VenLogic provides the assessment and action planning solutions that help a company rapidly qualify and sort through the solutions and create scenarios that meet their needs.

Whatˆs the difference between VenLogic and a broker/dealer?

VenLogic provides strategic equity marketing tools, programs, and consulting.  VenLogic does not engage in the sales process, and therefore does not take transaction ¶success or finders¾ fees. VenLogic derives its fees from selling products and well defined equity marketing and sale support services.

Broker/dealers are equity salesmen who tend to derive ¶success fees¾ from transactions that result from a successful equity sale.  Broker/dealers are required to be licensed to perform this service.  While some broker/dealers may perform some of the equity marketing services, many do not which can create a negative impression with investors.  Therefore, investors may ask questions in due diligence regarding the ¶value added services¾ performed by a broker/dealer „ especially when equity is a component of the transactions fee.

Whatˆs the difference between VenLogic's programs and a venture conference or seminar?

Venture conferences are one-size-fits-all random networking and general education programs for mass audiences.  The high volume nature of the conference model, makes it difficult to develop relationships in any level of true depth outside of an introduction which may be short lived.

VenLogicˆs programs are highly interactive and smaller in nature designed to the companyˆs needs.  The smaller format and highly relevant design enables a very relevant, high value exchange of information which can have a multi-million dollar impact on the company.

Whatˆs the difference between VenLogic and a venture fund?

VenLogic team members have been co-founders in a corporate venture fund that invested over $130M.  So, VenLogic brings many of the same resources and relationships a seed fund brings, both pre-money and post-money, except the investment capital.

How do professionals or investors become a part of the faculty?
